Business registration & Compliance

We advise business owners on the appropriate entities to register, sound corporate governance structures to implement and on compliance with company law and other relevant legislations. Some of our typical company secretarial services include:

• Business registration: Applying for registration of companies, sole proprietorships,  partnerships, societies, community based organizations (CBOs) and NGOs. We also  assist entrepreneurs to apply for conversion of  businesses registered under the Registration of Business Names Act into limited liability companies.
• Permits and licenses: We apply on behalf of our clients various business and special licenses such as Single Business Permits, Access to Government Procurement Opportunities (AGPO) and immigration permits.
• Statutory changes: We provide support during formalization of changes in directorships and shareholding of companies including  amendments to the authorized and  allotted share capital and during share transfers.
• Filing of annual returns: This ensures that the company is compliant with the legal obligation to update the Registrar of Companies of any changes to the statutory information (such as directorship and shareholding) during a particular year.
• Meetings: Convening board and annual general meetings and attending these as Company Secretaries and providing advice to ensure that proceedings are conducted in line with a company’s internal regulations and the law.
• De-registrations: We apply for de-registration of companies including following up to confirm that the de-registration is published in the Kenya Gazette as required.
